Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Osyr AI business operating system, including the website, application, client portal and AI agents (the "Service"), operated by Osyr ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

• You must be at least 16 years old and capable of forming a binding contract.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must provide accurate account information and keep it up to date.
• One person may hold multiple workspaces, and each workspace has its own seat, plan and data.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations during your subscription term. You may not resell, sublicense, reverse engineer, or build competing products from the Service or its content.

You agree not to misuse the Service, including by:

• Uploading unlawful, infringing, or malicious content.
• Attempting to access another tenant's data or circumvent security or rate limits.
• Using the Service to send spam, fraud, or deceptive communications.
• Interfering with the operation of the Service or its infrastructure.
• Using AI agents to generate content that violates applicable law or third-party rights.

We may suspend or terminate accounts that violate these rules, with notice where practicable.

AI agents produce drafts and analysis based on the content you provide. AI output is generated and may be imperfect — you are responsible for reviewing, editing and approving any AI-generated proposals, contracts, emails or other documents before sending them, and for verifying that generated content is accurate, lawful and appropriate for your use.

• Paid plans are billed in advance on a monthly or annual basis as selected at checkout.
• Card payments are processed by our payment providers; you agree to their terms as applicable to your payment method.
• Crypto payments are verified on-chain before invoices are marked paid; a payment is only credited after sufficient network confirmations.
• Prices, features and plan limits may change with notice; the price for your current billing period will not change mid-period.
• Unpaid invoices or failed renewals may result in downgrade or suspension of the workspace after a grace period.
• You can cancel or downgrade at any time; the paid features remain active until the end of the current billing period (no prorated refunds unless required by law).

Except where required by law (including applicable consumer protection rules), subscription fees are non-refundable. If we terminate the Service without cause, we will refund the unused portion of prepaid fees.

Your data and content remain yours. We claim no ownership of your clients, documents, or workspace content. The Service itself, its software, design, logos and branding are owned by Osyr and its licensors and are protected by intellectual property laws. You grant us a limited license to host, process and display your content solely to provide the Service to you.

Each party will keep confidential any non-public information received from the other, using it only to perform under these Terms, and will protect it with at least the same care as its own confidential information. This does not apply to information that is publicly available through no fault of the receiving party.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE. AI-GENERATED LEGAL OR FINANCIAL CONTENT IS NOT PROFESSIONAL ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN LIABILITIES, SO SOME LIMITATIONS ABOVE MAY NOT APPLY TO YOU.

• You may delete your workspace at any time from Settings; deletion is permanent after a short grace period.
• We may suspend or terminate access for breach of these Terms, illegal activity, or where required by law, with notice where practicable.
• Upon termination, your right to use the Service ends and we will delete your data in accordance with our Privacy Policy and applicable law.
• Sections that by their nature should survive termination (including IP, confidentiality, disclaimers, and limitation of liability) will survive.

These Terms are governed by the laws of the jurisdiction in which Osyr is established, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction of the courts in that jurisdiction for any disputes arising from these Terms, except where prohibited by applicable law.

We may update these Terms from time to time. Material changes will be announced via email or an in-product notice before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
